1. Agreement to terms
By accessing our website, submitting forms, or using NASBIX services, you agree to these terms and our privacy policy. If you do not agree, do not use the site or services. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
2. Services
NASBIX provides professional services including custom software engineering, web and mobile applications, cloud and API development, AI and data systems, blockchain solutions, cybersecurity, UI/UX, digital marketing tied to product delivery, consulting, staff augmentation, and managed support—as described on our solutions catalog and in signed contracts.
We may update service descriptions on the website with reasonable notice. Material changes to active client work are handled through contract amendments, not solely through this page.
3. Website use
You may browse the site for lawful business purposes. You must not:
- Attempt unauthorized access to systems, accounts, or data.
- Introduce malware, scrape in a way that impairs performance, or misuse forms for spam.
- Misrepresent your identity or submit false information.
- Copy, reverse engineer, or resell site content except as permitted by law or written license.
Demo forms on this site (quotation, contact, careers) may simulate submission without backend delivery until a production integration is configured—do not rely on them for legal notice without confirmation from NASBIX.
4. Client engagements
Paid work is governed by a mutually executed SOW, MSA, order form, or equivalent that defines scope, deliverables, fees, timelines, acceptance criteria, and support terms. These website terms fill gaps where the contract is silent unless the contract explicitly overrides them.
Named architects, sprint cadence, and secure SDLC practices described on approach apply when included in scope—not as standalone warranties outside contract.
5. Quotations & proposals
Responses to quotation requests outline options and non-binding estimates unless explicitly labeled as a formal offer with expiry. A binding price requires written agreement signed by both parties. Oral statements and marketing pages do not amend signed scope.
6. Your responsibilities
- Provide accurate information, timely feedback, and access (environments, credentials, stakeholders) needed for delivery.
- Protect account credentials and notify us of suspected compromise.
- Use services lawfully and ensure you have rights to materials you supply.
- Review deliverables and report defects within agreed acceptance windows.
- For AI or automated outputs, apply human review before high-risk decisions.
7. Client materials & data
You retain ownership of data, content, trademarks, and materials you provide. You grant NASBIX a limited license to use them solely to perform the contracted services. You are responsible for backups and lawful collection of end-user data in your products.
8. NASBIX intellectual property
Unless assigned in writing, NASBIX retains ownership of pre-existing tools, libraries, frameworks, methodologies, templates, website content, branding, and general know-how. Deliverables defined as “work product” in your SOW are licensed or assigned as specified there—often client ownership upon full payment for custom code created for you.
Open-source components remain subject to their licenses; we disclose material OSS use when required by contract.
9. Fees, invoices & taxes
Fees follow signed quotes, rate cards, or invoices. Unless stated otherwise:
- Invoices are due per payment terms in the contract (commonly net 15–30 days).
- Late amounts may incur suspension of work or support after notice.
- Taxes, duties, and bank fees are your responsibility unless we collect them on invoices.
- Expenses require prior approval when not included in fixed fees.
10. Delivery & acceptance
Timelines are estimates based on agreed scope, your responsiveness, and third-party dependencies (app stores, APIs, approvals). We deliver per milestones in the SOW. If no process is defined, you have a reasonable period after delivery notice to report material non-conformance to acceptance criteria—otherwise deliverables may be deemed accepted.
11. Support & maintenance
Post-launch support requires an active SLA or support agreement. Ad-hoc fixes outside scope may be billed separately. Route support requests per your contract—typically support@nasbix.com. Overview of models on the support hub.
12. AI, ML & innovation services
AI-assisted features, models, and automation may produce incomplete or incorrect output. You are responsible for validation, guardrails, and compliance in production. Innovation and POC sprints are time-boxed; production hardening requires separate scope unless included in the SOW.
13. Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only to perform obligations under contract and will protect it with reasonable care. Mutual NDAs supersede this section when signed. Public information or independently developed knowledge is excluded.
14. Warranties disclaimer
Except as expressly stated in a signed SOW, services and the website are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
We do not warrant uninterrupted or error-free operation of the website or third-party platforms (cloud providers, app stores, payment gateways).
15. Limitation of liability
To the extent permitted by law, NASBIX is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data. Our aggregate liability arising from a specific service is limited to the fees paid by you to NASBIX for that service in the twelve (12) months before the claim, unless a signed contract sets a different cap.
16. Indemnity
You will indemnify NASBIX against claims arising from your materials, your product’s use by end users, or your violation of law or these terms, except to the extent caused by our gross negligence or willful misconduct. NASBIX will indemnify you against third-party claims that deliverables we solely created for you under contract infringe intellectual property, subject to standard exclusions (your modifications, combinations with non-NASBIX items, etc.) when such indemnity is included in your agreement.
17. Termination
Either party may terminate per the contract’s termination clause. For website access, we may suspend use if you breach these terms. Upon termination, you pay for work performed and expenses incurred through the effective date. Sections that by nature should survive (IP, confidentiality, liability limits, governing law) remain in effect.
18. Governing law & disputes
These terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law rules. Courts in Karachi, Pakistan have exclusive jurisdiction unless a signed contract specifies arbitration or another forum. Parties will attempt good-faith resolution before formal proceedings where practical.
19. Changes to these terms
We may update these terms by posting a revised version with a new “last updated” date. Continued use of the website after changes constitutes acceptance for site use. Active client contracts continue under their signed terms unless amended in writing.
